If you subscribe to our Film Finance Legal Program, Producers Legal Program, or both (in each case, the “Program”), the additional Film Finance Legal Program Terms and Conditions below will also apply to you. If you engage DeepFocus for one or more Limited Scope Legal Services, the additional Limited Scope Legal Services Terms and Conditions below will also apply to you.

Please read all of the Terms and Conditions carefully before you do one or more of the following: use the Website, subscribe to the Program, or purchase Limited Scope Legal Services. By using the Website, subscribing to the Program, purchasing Services, or all of the foregoing, you accept and agree to be bound and abide by the Terms and Conditions. If you do not agree to the Terms and Conditions, you must not access or use the Website, subscribe to the Program, or purchase Services.

Except as provided for subscribers to the Program and for Limited Scope Legal Services clients, use of the Website does not create an attorney-client relationship between you and DeepFocus or any DeepFocus attorney. The information and materials presented on or through the Website are intended for general informational purposes only and may or may not reflect the most current legal developments. Such information or materials are not intended to, and do not, constitute legal advice under any circumstance. We do not warrant or guarantee the accuracy, completeness, or usefulness of such information and materials. Your use of such information or materials is entirely at your own risk. DeepFocus practices law only in jurisdictions in which one or more DeepFocus attorneys is properly authorized to do so. We do not seek to represent anyone in any jurisdiction where the Website does not comply or is in any way inconsistent with the rules governing communication of legal services. Except as provided below for subscribers to the Program and purchasers of Limited Scope Legal Services for whom representation is limited to matters subject to federal jurisdiction, DeepFocus is unwilling to assume the representation of clients from those jurisdictions where the Website does not comply with state bar requirements and where a client is generated as a result of such communication.

DeepFocus is based in the State of Oregon in the United States and provides the Website for use only by persons located in the United States. DeepFocus does not claim that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Intellectual Property Rights

The Website’s content and the selection, design, and arrangement thereof are owned by DeepFocus, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Information About You and Your Visits to the Website

All information that DeepFocus may collect on or through the Website is subject to our privacy policy. By using the Website, you consent to all actions taken by DeepFocus with respect to your information in compliance with our privacy policy.

Severability

If any part of the Terms and Conditions are declared unenforceable or invalid, the remainder will continue to be valid and enforceable.

Limitation on Liability

DeepFocus and its employees, agents, directors, officers, and shareholders will not be liable with respect to your use of the Website and any subject matter of the Terms and Conditions (however arising, including negligence) for any lost or corrupted data, lost profits, loss of use, loss of data, or loss of other intangibles, or any special, incidental, indirect, or consequential damages, even if we have been advised of the possibility of such damages. Some jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, so the above exclusions will only apply to the extent permitted by applicable law.

Film Finance and Producers Legal Programs Terms and Conditions

Attorney-Client Relationship. By subscribing to the Program, you will have an attorney-client relationship with DeepFocus. This attorney-client relationship will not be formed until you have made payment and will be limited to the Program Benefits described below. If you terminate your membership in the Program, the attorney-client relationship will end.

Program Benefits. Your membership in the Program includes two attorney telephone conference sessions (each, a “Session”) on film finance, for Film Finance Legal Program members, or production business and legal affairs, for Producers Legal Program members, matters per month. Each Session will be limited to 30 minutes. Because we must reserve available time for such sessions, any Session not used within a given month will not carry over to the following month. Sessions may be conducted by voice or video call. We may require that Sessions be scheduled in advance. The Program will not include representation in any litigation, trial or other judicial proceeding, arbitration, mediation, or any matter involving the practice of law other than entertainment law, such as family law, trust and estates law, or other non-entertainment practice areas. As a member of the Program, you will also receive, on all transactional entertainment law services for which you engage DeepFocus during your membership, a 15% discount from the prevailing hourly or fixed rate then charged by DeepFocus for such services.

Confidentiality of Information. All information given to us in connection with your participation in the Program will remain confidential except to the extent applicable attorney Rules of Professional Conduct reasonably permit disclosure.

Program Fees. Fees charged for your membership in the Program are a retainer paid to reserve attorney availability during the applicable period and are deemed earned when received. If you are a California resident, you may notify us in writing of your preference that such fees be deposited in our lawyer trust account until earned. Your payment method on file will be charged automatically at the beginning of the monthly or annual period applicable to your subscription until your membership is cancelled or terminated.

Monthly Membership. By enrolling in the Program for a Monthly Membership, you agree to an initial and recurring monthly subscription fee at the then-current monthly subscription rate, and you accept responsibility for all recurring charges until you cancel your Monthly Membership. You may cancel your Monthly Membership at any time, subject to the terms of our cancellation policy as described below.

AUTOMATIC MONTHLY RENEWAL TERMS. Once you enroll in the Program for a Monthly Membership, DeepFocus will automatically process your Monthly Membership fee in the next billing cycle. DeepFocus will continue to automatically process your Monthly Membership fee each month at the then-current Monthly Membership rate, until you cancel your membership.

Annual Membership. By enrolling in the Program for an Annual Membership, you agree to an initial pre-payment for one full year of service. After one year and annually thereafter, you will be billed a recurring Annual Membership renewal fee at the then-current Annual Membership rate. We will notify you before the renewal fee is billed. You may cancel your Annual Membership anytime before the next billing cycle, subject to the terms of our cancellation policy.

AUTOMATIC ANNUAL RENEWAL TERMS. We bill your credit card for the Annual Membership renewal fee in the first month of your next Annual Membership.

Program Eligibility. Membership in the Program is restricted to users who are at least 18 years of age. DeepFocus in its sole and absolute discretion may refuse your membership in the Program for any reason, including without limitation any conflict of interest with any current or former client or DeepFocus attorney or other personnel.

No Guarantee. DeepFocus does not guarantee any results of your participation in the Program.

Cancellation. You may cancel your membership in the Program at any time by emailing contact@deepfocuslaw.com with your request to cancel. We may terminate your membership in the Program at any time, for any reason. If you cancel your Annual Membership at any time after you are billed for the then-current year and before you are billed for the next year, you will be charged a pro-rated Annual Membership fee based on the number of months remaining in the then-current billing cycle.

Notice to California Residents Regarding Professional Liability Insurance. Under California Rule of Professional Conduct 1.4.2, we are informing you in writing that DeepFocus does not currently have California professional liability insurance.

Limited Scope Legal Services Terms and Conditions

Attorney-Client Relationship. By submitting payment for Limited Scope Legal Services through the Website, you represent that you have read, understood, and agree to the Terms and Conditions, including these supplemental Limited Scope Legal Services Terms and Conditions and our privacy policy, and you acknowledge that all of the foregoing apply to your limited scope representation. If you do not agree, you may not purchase Limited Scope Legal Services. If you purchase Limited Scope Legal Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates, in which case the term “you” will refer to such entity and its affiliates. If you do not have such authority, you may not purchase Limited Scope Legal Services on a company or other entity’s behalf.

Attorney Conflict Check. Before your request for Limited Scope Legal Services can be considered, we must confirm that that no conflicts of interest would prevent us from representing you for the purpose of providing the Limited Scope Legal Services, and that such representation would comply with applicable attorney Rules of Professional Conduct prohibiting representation of clients outside a jurisdiction in which an attorney is licensed. If DeepFocus is unable to represent you because a conflict exists, you will not become a DeepFocus client, and your payment will be refunded.

Scope of Services. As a Limited Scope Legal Services client, you will have an attorney-client relationship with DeepFocus. This attorney-client relationship will not be formed until you have made payment and will be limited to the specific services purchased. Services other than such purchased services are excluded from this representation, and you will not become a client of DeepFocus generally or with respect to any excluded services or related matters by purchasing Limited Scope Legal Services. You understand that limited scope representation is different from full service representation. “Full service representation” generally would include full investigation of the relevant facts, legal research, analysis of the issues, advice and counsel on all issues, negotiations with third parties, and documentation of any action taken. By contrast, “limited scope representation” consists of general information and advice about certain legal issues only. If you wish to become a DeepFocus client for full-service representation or any services beyond those included in your Limited Scope Legal Services, You must contact DeepFocus and explicitly negotiate a retention. The Website is not an invitation to form an attorney-client relationship for any additional services. Unless you and we agree to form such an attorney-client relationship by entering into a separate written agreement, the limited scope representation will end when we perform the specific Services purchased.
